HatCat Contractor Agreement

This Agreement, made and entered by and between Matt Jackson (hereinafter referred to as the “Client”) and the Contractor (hereinafter referred to as the “Contractor”).

1. Intellectual Property: The Contractor acknowledges and agrees that any and all work, products, documents, or materials produced by the Contractor for the Client in connection with the services rendered under this Agreement shall be the sole and exclusive intellectual property of the Client. The Contractor shall not use, reproduce, or distribute such work, products, documents, or materials for any other purpose without the explicit written permission of the Client.

2. Confidentiality and Non-Disclosure: The Contractor agrees to keep confidential all data, code, contacts, business practices, and any other information related to the Client’s operations (“Confidential Information”). The Contractor shall not disclose, reproduce, or distribute any Confidential Information to any third party without the explicit written permission of the Client.

3. Independent Contractor Status: The Contractor acknowledges that they are being compensated as an independent contractor. As such, the Contractor is solely responsible for all taxes, fees, and other financial obligations arising from the receipt of payment for services rendered under this Agreement. The Contractor will comply with all applicable local, state, and national laws related to independent contractor status and reporting.

4. Limitation of Liability: The Contractor agrees that the Client shall have zero liability for any injuries, damages, or losses incurred by the Contractor in connection with the services rendered under this Agreement. The Contractor shall indemnify, defend, and hold the Client harmless from any claims, damages, or liabilities arising out of the Contractor’s actions or omissions.

5. Non-Disparagement: The Contractor agrees to refrain from any actions or statements that could damage the reputation, codebase, business practices, data, or any other aspect of the Client’s operations. Should any issues or disputes arise between the parties, the Contractor commits to addressing such matters privately with the Client and not disclosing or discussing such issues in a public forum.

6. Modification and Termination: This section of the Agreement will be reviewed and may be updated in the future with a more detailed and formal structure. Both parties acknowledge that the terms and conditions of this Agreement may be changed or amended by the Client, with notice provided to the Contractor.

7. Governing Law: This Agreement shall be governed by the laws of the state of New Hampshire, USA. Any disputes arising from this Agreement shall be resolved in the courts located within the state of New Hampshire, USA.

8. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all previous negotiations, understandings, and agreements, whether oral or written, between the parties concerning the subject matter of this Agreement.

9. Activation: This agreement is considered valid and will take effect immediately either upon the first invoice being submitted by the Contractor or upon written confirmation of the agreement, whichever occurs first.

10. Cryptocurrency Mistakes: If the contractor is being paid in cryptocurrency, it is the contractor’s responsibility to ensure accurate entry of the receiving wallet address into the invoice form. If the client sends cryptocurrency to the exact address the contractor provided in the invoice, the contractor is responsible for any mistakes, and the amount is considered paid regardless of the contractor actually receiving the cryptocurrency. The contractor will be required to provide services in that case as if they had been successfully paid. Test transactions of low amounts can be requested by the contractor to the client, to ensure that the address is correct.

Terms are subject to change at any time, at the sole discretion of the client.
